چکیده
زمینه و هدف: با وجود جایگاه خاص شرکت های هلدینگ، متأسفانه در حقوق ایران، آن چنان که باید به این نوع شرکت ها پرداخته نشده است. یکی از سؤالاتی که درخصوص این نوع شرکت ها مطرح است؛ امکان یا عدم امکان تأسیس آن درقالب شرکت های با مسئولیت محدود می باشد که هدف مقاله حاضر بررسی این موضوع است. مواد و روش ها: مقاله حاضر توصیفی تحلیلی بوده و از روش کتابخانه ای استفاده شده است. ملاحظات اخلاقی: در این مقاله، اصالت متون، صداقت و امانت داری رعایت شده است. یافته ها: موانع حقوقی مهمترین موانع تشکیل شرکت های هلدینگ در حقوق ایران و آمریکاست. قوانین آمریکا با احصاء تأسیساتی که شرکت هلدینگ می تواند در قالب آن ها تشکیل شود؛ اجازه تأسیس این نوع شرکت ها در قالب شرکت با مسئولیت محدود را نداده است. در حقوق ایران نیز در قوانین مرتبط درخصوص امکان یا عدم امکان تشکیل شرکت های هلدینگ در قالب شرکت با مسئولیت های محدود، صراحتی دیده نمی شود. نتیجه: داده های این پژوهش براساس تعاریف ارائه شده از شرکت هلدینگ و مقایسه آن با مواد قانونی مرتبط با تعریف و ویژگی های اعلامی برای شرکت با مسئولیت محدود، نشان می دهد که درحال حاضر و با لحاظ قوانین فعلی کشور امکان تشکیل شرکت های هلدینگ در قالب شرکت های با مسئولیت وجود ندارد.The Obstacles for the Formation of Holding Companies in the form of Limited Liability Companies in Iranian Law With a View to American Law
Background and Aims: despite the special position of holding companies, unfortunately, in Iranian law, this type of companies has not been addressed as it should be. One of the questions that is raised about this type of companies; The possibility or impossibility of establishing it in the form of limited liability companies is the purpose of this article to investigate this issue.
Materials and Methods: This article is descriptive and analytical and library method is used.
Ethical Considerations: In this article, the originality of the texts, honesty and trustworthiness are observed.
Results: American laws with the statistics of the facilities in which the holding company can be formed; It has not allowed the establishment of these types of companies in the form of limited liability companies. In Iran's jurisprudence, there is no clarity in the related laws regarding the possibility or non-possibility of forming holding companies in the form of limited liability companies.
Conclusion: The data of this research, based on the definitions of holding company and its comparison with the legal articles related to the definition and declaration characteristics of a limited liability company, show that currently, according to the current laws of the country, it is possible to form holding companies in the form of a company.
