چکیده
مدیران شرکت های سهامی توسط مجمع عمومی انتخاب می شوند. انتخاب مدیران شرکت های تجاری منوط به برگزاری تشریفات انتخابات در مجمع عمومی می باشد. عدم رعایت تشریفات قانونی برای انتخاب مدیران موجب بطلان تصمیم اتخاذ شده از سوی مجمع عمومی می گردد. در دادنامه شماره 9309970010600108 مورخ 1393/2/21 صادره از شعبه 107 دادگاه عمومی حقوقی تهران، دادگاه بدون توجه به عدم رعایت تشریفات قانونی انتخاب مدیران، اقدام به تایید صورت جلسه مجمع عمومی نموده است که ابعاد مختلف این رای و آثار آن بر شرکت نقد می گرددChoosing Managers of Corporations Companies Without Their Consent
