چکیده
شرکت تک شریک، اصطلاحی نو در ادبیات حقوقی است و بدون آنکه در هیچ یک از قوانین موضوعه، نامی از آن برده شده باشد، تنها در تشکیل برخی از شرکت های چندشریکی توسط یک شخص در موارد منصوص و محدود، پیش بینی شده است. در کشورهای اتحادیه اروپا که سردمدار تشکیل این نوع شرکت ها به حساب می آیند در ابتدا نظرات موافق و مخالف زیادی در مورد این شکل نوین از فعالیت شرکتی وجود داشت که در نهایت منجر به ایجاد ساختار منسجم و قاعده مندی از چهارچوب شرکت تک شریک شد. در راستای انطابق با قواعد تجاری بین المللی، در ماده 479 از لایحه تجارت ایران، مورخ 1391، تشکیل شرکت با مسؤولیت محدود، به صورت تک شریک پیش بینی شده است؛ امّا نحوه تشکیل ابتدایی و موجودیت این شرکت به چه صورت است؟ ارکان سه گانه شرکت، در حالت تک شریک بودن، چه حالت ویژه ای پیدا می کند؟ جریان انحلال و تصفیه شرکت تک شریک چگونه است.Comparative review of "company one man's" in Iran law, french law and United Kingdom law
